Setting up a Dutch BV
A Dutch BV is the most chosen company form in the Netherlands. The Dutch BV (besloten vennootschap) is the Dutch version of the limited liability company or the German GmbH. A Dutch BV is the best option for business owners for setting up a company in the Netherlands or continuing their company. Companies use the BV as a business company, a financing company, a holding company or a royalty company in Dutch structures or international ones. It offers a better form than a general partnership or sole proprietorship, especially if you are doing business internationally. It also offers the legal restriction of private liability. Setting up a business in Holland as Dutch BV for you
A Dutch BV is a private company. Persons and companies both can be the incorporator of the new company, and they can also form the management. They can be Dutch or not. Another advantage of a Dutch BV is the fact that the minimum share capital is 0,01 euro. A notary has to approve the shares. Because of the private nature of the company, the shares cannot freely be transferred. The process of setting up a Dutch BV is done as follows: first, you choose an appropriate name for your company. The name has to be unique and can not resemble any other local businesses and can not contain any special character. Then you decide who will be your shareholders and you decide on the amount of the share capital. Next, you formulate the company’s goals and you need to get an address in the Netherlands, to register your new company. As mentioned before, you need to get a notary involved and this can be a notary in the Netherlands or in your own country. Finalizing the setting up a company
Once we have completed all the steps above, you need to complete further registration at the Dutch Chamber of Commerce. You can also register your company in the Netherlands by filling in the online form, submitting personal details, business contact details, company descriptions, as well as expected yearly turnover and gross profit, but most of the time you need to go to the Dutch Chamber of Commerce in person. There is a fee to be paid subsequent to registration. Possibly there is a need for registration for the Tax and Customs Administration. Before you do all this, Dutch law asks for several other requirements, like obtaining a residence permit or a start-up visa. This is only the case if you are from abroad and wish to remain here in the Netherlands. The last part of the process is opening a Dutch bank account and acquiring Dutch tax numbers, which will be issued by the Dutch Tax Office (Belastingdienst).
